TERMSOFBUSINESSFORSHORTTERM,SEASONAL&PERMANENTPLACEMENTS

1. DEFINITIONS
1.1 Inthese terms of business (“Terms”)the following definitions apply: Agencymeans,Workers DirectLtd.specialist intemporary,shorttermandpermanentstaffplacements,companyregistered inEngland&Wales No,7681353 VAT 207321055.

Candidatemeans the personintroduced by the Agency to the Client for an Engagement. Client means the person, firm or corporate body together with any subsidiary or associatedcompanyoftheperson,firmorcorporatebodytowhomtheAgencyintroduces a Candidatewith aviewto an Engagement.
EngagementmeanswheretheClientretainsaCandidateforemploymentbytheClientor
anythirdparty,onapermanentorshorttermbasis,oranyotherengagementwhetherthe employment or othercontract between the Candidate and the Clientisin writingor not. InstructionsmeanstheinstructionsgiventotheAgencybytheClientfortheAgencyto search for a Candidate for an Engagement including but not limited to freelance, permanent and short termcontracts.
Introduction meanswhen one ormore of thefollowing takes place:
i.theprovisionbytheAgencytotheClientofacurriculumvitaeorinformation,
verbally or in writing, which identifies the Applicant; and which leads to an
Engagement of that Applicant.
ii. theClientinterviews a Candidateinperson orby telephone,following the
Client’sinstruction to the Agency to search foraCandidate
Introduction Fee means the fee payable by the Client to the Agency in
accordance withclauses5 &6.
Remunerationincludestotalgrossbase salaryorfees,guaranteedand/or anticipated bonus andcommission earnings,allowances,inducementpayments,the benefitofacompanycarandallotherpaymentsandtaxable(and,whereapplicablenon-
taxable)feespayabletoorreceivablebytheCandidateforservicesrenderedtooron
behalf of the Client.
1.2 Unless the context requires otherwise,references to the singularincludethe plural
1.3 TheheadingscontainedintheseTermsareforconvenienceonlyanddonotaffecttheir
interpretation.
1.4 TheAgencywilloperateasanEmploymentAgencyinrelationtotheClient. TheAgency willhavenoauthority toenterintoacontractwith an Applicant onbehalfof the Client.

2. CONTRACT
2.1 ThesetermsconstitutethecontractbetweentheAgencyandtheClientandaredeemed tobeacceptedbytheClientbyvirtueofanIntroductionto, orthe Engagementof a Candidateorthepassing ofany informationabouttheCandidatetoanythirdparty followingan Introduction.
2.2 These Termscontain the entire agreement between the parties and unless otherwise agreed inwritingbyadulyauthorizedofficer oftheAgency,these Termsprevailoverany otherterms of businessor purchase conditions put forward by the Client.
2.3 No variationoralterationtotheseTermsshallbevalidunlessthedetails ofsuchvariation areagreedbetweentheAgencyandtheClientandaresetoutinwritingandacopyof thevariedtermsisgiventotheClientstatingthedateon orafterwhichsuchvariedterms shallapply.

3. SERVICES
3.1 The Agencyacts as an employment agency for Candidates. The Agencysources
potentialCandidatesfollowingaClient’sInstructionsandintroducesthemtotheClientfor
apotentialEngagement.
3.2 TheAgencyagreestomakeIntroductionstotheClientofCandidatesthattheAgency believeswillmeet withthe Client’s Instructions.
3.3 WhenmakingarequestfortheprovisionofaCandidatetoperformanEngagementthe
Client willgive the Agency details of:
3.3.1 the date on which the Client requires the Candidate to commence the
Engagement and the duration orlikely duration of the Engagement;
3.3.2thepositionwhichtheClientseekstofill,includingthetypeofcuisineif
applicable,the locationat which,andthehoursduringwhich, theCandidate would berequiredtowork,and anyrisktohealthorsafetyknowntotheClientandwhat steps the Clienthas taken to preventorcontrolsuch risks;
3.3.3theexperience, training,qualificationsandanyauthorisationwhich theClient considersis necessary for the Candidate to possess in order to work in the position;
3.3.4anyexpenses payableby orto the Candidate;
3.3.5theRemunerationandanyotherbenefitswhichtheClientwouldoffertoa
Candidatein the position whichit seeksto fill;and
3.3.6thetermsofthecontractorwhereapplicablethe lengthofnoticewhicha Candidate insuch apositionwouldbe requiredto give,andentitledtoreceive,to terminatethe Engagement withthe Client.

4. NOTIFICATION OFENGAGEMENT
4.1 The Client agrees:
4.1.1to notify theAgency immediately ofanyoffer of anEngagementwhichit makes the Candidate; and
4.1.2tonotifytheAgencyimmediatelythatitsofferofanEngagementtothe
CandidatehasbeenacceptedandtoprovidedetailsoftheRemunerationtothe
Agency.

5. RECRUITMENT FEES
5.1 InTemp to PermEngagement of any employee isfor1 week to 12 weeks, in Temporary Placement might be one day orless the Client shallpay the Agreed Per Hour fee and £250 Plus VAT (Construction Candidates) and 7% of annual Salary (Administration or Catering Candidates).

5.2 Inthe eventthat the Engagement is foraweekly ormonthlybasis (6 months orless)the Client shall pay the Agency anIntroductionFee equivalentto 20%of the Candidate’s accumulated salaryearned forthe period(s)employed, subject toaminimumfee of £250 plus VAT.
5.3 Inthe eventthat the Engagement is forafull time orfixed termplacement of 6 months or more, the Introduction Fee shallbe6 weeks of the Candidates gross salary plus VAT.
5.4 Inthe eventthat any Candidateintroduced by the Agency to the Clientis employed or re-
employeddirectly by the client(with orwithoutthe Agency’sinvolvement)within the period of18 months fromthe date of ourinitial introduction of the Candidate, theClient willbe chargedthe applicable Introduction Fee inaccordance withclause 5.
5.5 Inthe eventthe Clientobtains anyinformation and/ordocumentationpertaining to the
Candidatefromanothersource priorto ourinitial introduction, the Client must informus immediately.Wereserve the rightto claimthe introduction andany applicable Introductionfee should the Client decideto use theinformation.
5.6 The Client shallbe responsible for payingthe Candidate’s Remuneration directly onan hourly/daily/monthly basis(as agreed)including overtime payments, at a rate agreed between the Candidate andthe Client.
5.7 Wherean offer ofafixed termcontracthas been made by aClient andis subsequently
withdrawnby aClient after acceptance bytheCandidate, an IntroductionFee willbe
calculatedand payableby the Client tothe Agency at 50%of the Introduction Fee that was payableinrespectof thefixed termEngagement undereitherclause 5.2 or5.3
above, as applicable.

5.8 If the client makes a specific request, the Agency can provide the Candidate with regular timesheetsfortheCandidatetocomplete inrelationtoa freelanceEngagement. TheClient shallsignandverifythetimesheetsforeachCandidate. Signatureofthetimesheetsbyan authorised personconstitutesacceptance by theClientthattheCandidate’sserviceshave been provided satisfactorily forthehoursstated on the timesheet.

6. PAYMENTOFTHEINTRODUCTION FEE
6.1 TheClientshallpaytheAgencyanIntroductionFeecalculatedasapercentageofthe
Remuneration ofthe Candidateinaccordance withclause 5.
6.2 AnIntroductionfeecalculatedinaccordancewithclause5willbechargedinrelationtoany
Candidateengagedasaconsequenceofor resultingfromanIntroductionbyorthroughthe Agency,whetherdirector indirect,within18monthsfrom thedateoftheAgency’s Introduction.
6.3 WheretheamountoftheactualRemunerationisnot knowntheAgencywillchargeafee calculated inaccordancewithclause5ontheminimumlevelof remunerationapplicablefor theposition inwhichtheApplicanthasbeen engagedwith regardtoany informationsupplied
totheAgencybytheClientand/orcomparablepositionsinthemarketgenerallyforsuch
positions.
6.4 TheClientwillbe invoicedforthefullIntroduction Feeat anytimeafterthatCandidate’s Engagement has been confirmed by the client, or at a time otherwise agreed between the Agency and theClient.
6.5 TheClientagreestopaytheIntroductionfeewithin14daysofthedateofinvoiceorbefore the Engagement commences,whichever datecomes first.
6.6 TheAgencyisentitledtochargeinterestoninvoicedamountsunpaidaftertheduedatefor
paymentattherateof4%perannum abovetheapplicableFrench legalinterestrate(both beforeas well as after any judgment).
6.7 TheAgencymayrecoverfromtheClientonanindemnitybasistheAgency’sreasonable costsandexpenses(includinglegalfeesandmanagementtime)incurredbytheAgencyas a result ofthe Agencyrecovering, or attempting to recover overdueIntroductionFees.

7. REFUNDS/ TERMINATION OFENGAGEMENT
7.1 Inthecaseoffreelanceplacements,shouldtheCandidatenotcompletetheEngagement
andboththeAgencyandtheCandidatehavebeennotifiedinwritingwithinoneworking
day of the termination of the Engagement, then the Agencymay at its discretion offera fee rebateforany fullweeks notworked. IntheeventoftheClient’s failuretocompletethese notificationrequirements,theAgencyreservestherighttochargeapenaltyfeeofone week.
7.2 ShouldtheClientre-engageaCandidatewithin18monthsofthecommencementofthe
originalEngagementforwhicharefundhasbeengiventheClientshallpaytheAgencya fullIntroduction Feeforthatre-engagement,in accordancewithclause 5,andno refund policy underthis clause 7 shallapplytothatre-engagement.
7.3 Inthe caseof permanent placements ifthe candidateleaves employmentwithin the first monththeAgencyagreestofindareplacementcandidateatnofurtherchargeassuming theoriginalfeehasalreadybeenpaidhowevernorefundwillbegivenunlessotherwise agreedin writing between the Agency and theClient.

8. CANCELLATIONS
8.1 TheAgencyreservestherighttochargeacancellationfeeforanyassignmentscancelled
by the Client withlessthanone weeks’notice.
8.2 IftheCandidatecancelstheassignmentthe Agencywilltrytofindasuitablereplacement candidate. If the Agency is unable to find a replacement candidate then a full refund willbe given.

9. CLIENTOBLIGATIONSTOTHECANDIDATE
9.1 TheClientagreestopaytherateoftheCandidateasagreedatthecommencementofthe
Engagement, in addition to any agreed expenses.
9.2 The Clientis responsible forallrelevant contributions and taxobligations asappropriate.
9.3 ForthedurationoftheEngagementtheClientisdeemed tobetheemployerofthe
Applicantand therefore responsibleforallnormalemployment obligations.

10. INTRODUCTIONS& CONFIDENTIALITY
10.1 TheClientundertakesnottointroducetheCandidatetoanythirdparties.Inthe eventthat the Client introduces a Candidate to a third party and the Candidate is subsequently engaged or employedbysuchthirdparty within 18monthsafter theIntroductionofthe CandidatetotheClientbytheAgency,theClientshallpaytotheAgencyanindemnityset attheamountoftheintroduction Feeinaccordancewithclause5as iftheCandidatehad been engaged bythe Clientthrough theAgency.
10.2 IfaCandidateintroducedbytheAgencyiseither(a)subsequentlyre-introducedtothe
Clientbyathirdpartyand/or(b)anapproachismadebytheClientdirectlyand/or(c)the
ClientsolicitstheCandidateandasaresultofoneormoreoftheseeventsanEngagement is made,thenanIntroduction Feeunderclause5shallbepayableas iftheCandidatehad beenintroducedby the Agency.
10.3 AllinformationsuppliedbytheAgencytotheClientinconnectionwiththeEngagementof theCandidatewillbekeptconfidentialbytheClient andtheClientshallnotdisclosesuch informationto any third party other than an employee of the Client whorequires the informationinthecourseoftheClient’sbusiness,providedthattheemployeeisboundby the sameconditionsof confidentiality.

11. SUITABILITY& REFERENCES
11.1 TheAgencyshalluseitsreasonableendeavortoveritythesuitabilityoftheCandidatefor theEngagement inlinewiththeInstructions andany qualifications that theCandidate requires forthe Engagement, but the Agency does not guarantee the suitability of the Candidate.
11.2 TheClientundertakestousereasonableskillandcareaswouldbeexpectedofanormally
prudentand diligent employer tosatisfyitself asto the suitability orotherwise of any
Candidateforthe Engagement.
11.3 TheClientisresponsibleforobtainingworkpermitsandorsuchotherpermissiontowork
asmayberequiredforthearrangementofmedicalexaminationsand/orinvestigationsinto
the medicalhistory of any Candidate, and satisfying any medicaland other requirements, qualifications or permission required by law of the country in which the Candidate is engagedtowork.
11.4 IfuponcommencementoftheassignmenttheCandidateisfoundtobeunsuitableit isthe responsibility oftheClient to notifytheCandidateof the termination of theAssignmentin accordancewiththerelevantnoticeperiods. TheClientremainsresponsibleforpayingthe
Applicantforallofthehours/daysworkedinadditiontothenoticeperiodpayments,as
detailedin the agreement at the start of the assignment.

12. DETAILSOFTHECLIENT
TheClientauthorizestheAgencytoadvertisetheavailabilityofthepositionorpositions,whichthe
Client engagesthe agency to seek orfill.

13. LIABILITY
TheAgencyshallnotbeliableunderanycircumstancesforanylossexpense,damage,delay,
costsorcompensation(whetherdirect,indirectorconsequential)whichmay besufferedorincurred
bytheClientarisingfromorinanywayconnectedwiththeAgencyseekingaCandidateforthe
